TERMS & CONDITIONS

These Terms & Conditions ("Terms") apply to estimates, proposals, work orders, service requests, projects, and services provided by JM Precision Home Services ("JM Precision," "we," "us," or "our") unless a written agreement for a specific project states otherwise.

By approving an estimate, proposal, work order, change order, or service request, or by authorizing JM Precision to begin work, the customer ("Customer" or "you") agrees to these Terms.

1. SCOPE OF SERVICES

JM Precision Home Services provides residential and commercial property improvement and construction-related services. Services may include dirt work, drainage, gravel driveway repair and resurfacing, grading, excavation, trenching, small site preparation, equipment work, decks, stairs, fences, exterior property improvements, property maintenance, remodeling, carpentry, and related services.

The specific scope, price, materials, allowances, exclusions, payment schedule, and other project-specific requirements will be stated in the applicable estimate, proposal, work order, or approved change order.

Work not specifically included in the written scope is excluded unless later added through an approved change order.

2. CONTRACT DOCUMENTS AND ORDER OF PRECEDENCE

The agreement between JM Precision and the Customer may consist of:

The approved estimate, proposal, or work order
These Terms & Conditions
Approved change orders
Written project specifications, drawings, selections, or allowances
Other written documents expressly incorporated into the agreement

If a project-specific provision conflicts with these general Terms, the more specific project provision will control for that project.

3. ESTIMATES AND PRICING

Unless otherwise stated, estimates are based on the visible and reasonably discoverable conditions existing at the time of the estimate and on the information provided by the Customer.

Pricing may include, as applicable:

Labor and supervision
Materials and waste
Equipment and attachments
Equipment rental
Fuel
Mobilization and transportation
Delivery
Hauling
Disposal
Subcontractors
Permits and inspections when included
Administrative and project-management costs
Site conditions and project risk
Other items identified in the estimate

An estimate is valid only for the period stated on the estimate. If no validity period is stated, JM Precision may require updated pricing before work begins if material, equipment, fuel, subcontractor, disposal, delivery, or other project costs materially change.

Unless an estimate specifically states that quantities are fixed and included without adjustment, material quantities are based on reasonable estimates from available measurements and site conditions. Additional materials required because of actual field conditions, Customer-requested changes, inaccurate information, hidden conditions, or conditions that could not reasonably have been identified before work began may require a change order.

4. DEPOSITS AND PAYMENT SCHEDULES

Deposits, progress payments, draws, and final-payment requirements will be stated in the estimate, proposal, invoice, or other project document.

A deposit may be used to reserve scheduling, order materials, reserve or rent equipment, arrange delivery, secure subcontractors, obtain permits, or otherwise prepare for the project.

After any applicable statutory cancellation period has expired, if the Customer cancels or delays a project, JM Precision may apply amounts paid toward actual and reasonable costs already incurred or committed for the project, including:

Completed work
Special-order or nonreturnable materials
Restocking charges
Delivery charges
Equipment reservations or cancellation charges
Permit costs
Mobilization
Subcontractor commitments
Other documented project-specific costs

Any remaining unearned balance will be handled in accordance with the agreement and applicable law.

5. PAYMENT TERMS

Invoices and progress payments are due according to the payment schedule stated in the estimate, invoice, or project agreement.

JM Precision may pause or postpone work if a required payment is not made when due.

The Customer remains responsible for all undisputed amounts due for authorized work performed, materials supplied, equipment used, and approved change-order work.

JM Precision reserves any payment, collection, and lien rights available under applicable law. Reasonable collection costs, court costs, and other legally recoverable expenses may be sought when permitted by law.

6. CHANGES TO THE WORK

Changes to the original scope may affect price, materials, equipment, scheduling, and completion dates.

Additional or changed work should be documented through a written or electronic change order. Change orders may be approved through Jobber, email, text message, electronic signature, or another written method that reasonably documents the Customer's authorization.

Whenever practical, JM Precision will obtain approval before performing additional chargeable work.

If an unforeseen condition creates an immediate safety concern or a risk of significant property damage, JM Precision may temporarily stop work or take reasonable temporary protective measures and will contact the Customer as soon as practical.

7. UNFORESEEN AND CONCEALED CONDITIONS

Construction, excavation, drainage, grading, site preparation, and repair work may reveal conditions that were not visible or reasonably discoverable during the estimate.

Examples include:

Rock or unusually hard soils
Buried concrete, foundations, debris, or construction waste
Unsuitable or unstable soils
Excessive groundwater
Hidden drainage systems
Buried tanks
Roots or stumps
Unmarked or abandoned utilities
Private underground lines
Failed or concealed structural components
Hidden water damage or rot
Contaminated or questionable soils or materials
Conditions that differ materially from information provided by the Customer

JM Precision is not required to perform additional work caused by unforeseen conditions within the original price unless the original scope expressly includes that risk.

If unforeseen conditions materially affect the work, JM Precision may stop the affected portion of the project, explain the condition to the Customer, and provide a change order or revised scope before continuing.

8. TENNESSEE 811 AND UNDERGROUND UTILITIES

JM Precision will comply with applicable underground-utility locate requirements for excavation performed by JM Precision.

When required, work may be delayed until the applicable Tennessee 811 locate request is valid and participating utility operators have had the legally required opportunity to mark their facilities.

Tennessee 811 and participating utility locates may not identify privately owned underground facilities.

The Customer is responsible for accurately identifying and disclosing known private or non-utility-marked underground items, including, when applicable:

Septic tanks and field lines
Private water lines
Irrigation systems
Private electrical lines
Lines to sheds, barns, shops, gates, lighting, or other structures
Propane or private gas lines
Invisible pet fences
Low-voltage wiring
Private communication lines
Wells
Drainage piping
Buried structures or tanks
Other privately installed underground facilities

JM Precision is not responsible for damage to concealed or unmarked private facilities that were not reasonably discoverable and were not disclosed or accurately marked by the Customer, except to the extent damage is caused by JM Precision's negligence or as otherwise required by law.

If an unknown or conflicting utility is discovered, work may be stopped until the condition can be safely evaluated.

9. PROPERTY LINES, EASEMENTS, AND CUSTOMER-PROVIDED INFORMATION

The Customer is responsible for identifying the correct property boundaries, easements, restrictions, and areas where work is authorized unless surveying or boundary verification is specifically included in JM Precision's scope.

JM Precision may rely on measurements, plans, surveys, property-line information, utility information, drainage information, and other facts supplied by the Customer or the Customer's representatives.

JM Precision is not responsible for costs or delays caused by inaccurate Customer-provided information unless JM Precision knew or reasonably should have known the information was incorrect.

10. SITE ACCESS AND CUSTOMER RESPONSIBILITIES

The Customer must provide safe and reasonable access to the work area for employees, subcontractors, trucks, trailers, equipment, materials, and deliveries.

Before work begins, the Customer should:

Remove or secure vehicles, personal property, furniture, toys, decorations, and other items from the work area
Secure pets and animals
Provide required gate or access information
Identify known hazards
Identify private underground facilities
Identify septic systems, wells, irrigation, and similar site features
Inform JM Precision of access restrictions, weak bridges, narrow driveways, low overhead clearances, weight restrictions, HOA requirements, or other known limitations

If access conditions differ materially from what was represented or reasonably visible, additional mobilization, equipment, labor, or alternative access methods may require a change order.

11. HEAVY EQUIPMENT AND EXISTING SURFACES

The Customer understands that excavation and dirt-work projects may require trucks, trailers, skid steers, compact track loaders, mini excavators, rollers, trenchers, or other heavy equipment to travel across the property.

Reasonable disturbance to soil, grass, gravel, landscaping, or work areas may occur as part of the contracted work.

Existing driveways, pavement, concrete, sidewalks, curbs, lawns, drainage structures, retaining walls, underground systems, and other surfaces may have pre-existing defects, insufficient base, hidden deterioration, or inadequate load capacity.

JM Precision is not responsible for failure or damage caused by pre-existing defects, concealed conditions, inadequate load capacity, or conditions that could not reasonably have been discovered before work began, except to the extent caused by JM Precision's negligence or as otherwise required by law.

Restoration of disturbed areas is included only when specifically stated in the scope.

12. DRAINAGE AND WATER-MANAGEMENT WORK

Drainage work is intended to improve the management, collection, conveyance, redirection, or discharge of water based on site conditions existing at the time of the project.

Unless specifically guaranteed in writing, JM Precision does not promise that a drainage system will eliminate all standing water, groundwater, erosion, flooding, seepage, or moisture under every condition.

Drainage performance may be affected by factors outside JM Precision's control, including:

Extreme or unusual rainfall
Changes to neighboring or upstream properties
Municipal or roadside drainage
Groundwater
Soil conditions
Downstream restrictions
Future grading or construction
Clogged or damaged outlets
Leaves, sediment, roots, debris, or lack of maintenance
Changes made by the Customer or third parties after completion

Customers are responsible for reasonable ongoing maintenance of catch basins, trench drains, grates, inlets, outlets, swales, pipes, and other drainage components unless a maintenance service is separately contracted.

13. GRADING, GRAVEL, AND EARTHWORK

Grading and gravel work is affected by weather, soil moisture, existing base conditions, traffic, drainage, material characteristics, and future use.

Aggregate is a natural or recycled construction material and may vary in color, gradation, moisture content, texture, and appearance.

Normal settling, minor aggregate movement, dust, future potholes, erosion, rutting caused by traffic or weather, and maintenance needs are not automatically considered workmanship defects.

The finished result will be based on the scope, existing site conditions, available elevations, drainage requirements, and practical limitations of the property.

14. MATERIALS

JM Precision may use commercially reasonable materials that meet the project scope.

Natural materials, lumber, stone, gravel, soil, concrete, and similar products may have normal variations in color, grain, texture, dimensions, moisture, or appearance.

Material substitutions may be proposed when specified products are unavailable, delayed, discontinued, or impractical. Material substitutions that materially change the scope, appearance, or price will be discussed with the Customer before installation when practical.

15. CUSTOMER-SUPPLIED MATERIALS

If JM Precision agrees to install Customer-supplied materials, the Customer is responsible for the suitability, quantity, quality, compatibility, availability, and manufacturer warranty of those materials unless otherwise stated in writing.

Additional labor, delays, return trips, or replacement work caused by missing, defective, incorrect, damaged, or incompatible Customer-supplied materials may result in additional charges through a change order.

JM Precision does not warrant Customer-supplied products themselves.

16. PERMITS, APPROVALS, AND REGULATED TRADES

Permit and inspection responsibilities will be handled as stated in the project scope and in accordance with applicable law.

Unless specifically included in the estimate, the Customer is responsible for private approvals such as HOA, architectural-review, landlord, property-management, or similar approvals.

JM Precision will only perform, subcontract, or arrange regulated work in accordance with applicable licensing and legal requirements.

Electrical, plumbing, HVAC, septic, utility, or other regulated trade work is excluded unless expressly included in the written scope and performed or subcontracted as legally permitted.

17. SUBCONTRACTORS, SUPPLIERS, AND EQUIPMENT PROVIDERS

JM Precision may use qualified employees, subcontractors, suppliers, delivery providers, equipment-rental companies, hauling companies, or other service providers as reasonably necessary to complete the work.

Scheduling may depend on the availability of these third parties.

JM Precision remains responsible for managing work within its contracted scope, subject to the terms of the project agreement.

18. SCHEDULING AND PROJECT DELAYS

Start dates, production schedules, and completion dates are estimates unless expressly guaranteed in writing.

Scheduling may be affected by:

Rain or unsuitable ground conditions
Severe weather
Utility locates
Permits or inspections
Material availability
Supplier or delivery delays
Equipment availability or breakdown
Subcontractor availability
Disposal-site availability
Site-access conditions
Customer-requested changes
Unforeseen site conditions
Events outside JM Precision's reasonable control

JM Precision will make reasonable efforts to communicate material scheduling changes.

Weather-sensitive dirt work, grading, excavation, drainage, concrete, and outdoor construction may be postponed when conditions could create unsafe work, unacceptable quality, excessive site damage, or equipment-access problems.

19. CUSTOMER-CAUSED DELAYS

If the Customer delays the project after JM Precision has scheduled labor, reserved equipment, ordered materials, arranged deliveries, or mobilized to the site, the project may be rescheduled based on the next reasonable availability.

Actual additional costs caused by a Customer delay, including remobilization, equipment cancellation or extension charges, storage, additional delivery, or subcontractor costs, may require a change order.

20. CANCELLATION AND STATUTORY CANCELLATION RIGHTS

The Customer may request cancellation by contacting JM Precision in writing.

Cancellation does not eliminate payment obligations for authorized work already completed or reasonable project costs already incurred or committed, subject to applicable law.

Certain transactions entered into at a customer's residence or away from JM Precision's established place of business may be subject to statutory cancellation rights.

When a transaction is subject to a statutory right of cancellation, the legally required cancellation period, notices, forms, and refund requirements will control. Nothing in these Terms is intended to waive or limit a Customer's non-waivable cancellation rights.

21. SUSPENSION OR TERMINATION OF WORK

JM Precision may suspend or terminate work when reasonably necessary because of:

Nonpayment
Unsafe conditions
Illegal or prohibited work
Undisclosed hazards
Customer interference with safe performance
Harassment, threats, or abusive conduct toward workers or subcontractors
Inability to obtain required access
Discovery of conditions requiring specialized or licensed services outside JM Precision's scope
A material breach of the project agreement

When practical, JM Precision will provide notice and an opportunity to correct the issue before termination.

The Customer remains responsible for amounts properly due for authorized work performed and reasonable project costs incurred through the date of suspension or termination.

22. CLEANUP AND DISPOSAL

JM Precision will perform normal jobsite cleanup appropriate to the contracted scope.

Removal, hauling, disposal, export of soil, demolition debris, brush, stumps, concrete, asphalt, rock, hazardous materials, or other waste is included only when stated in the scope or reasonably necessary to perform the included work.

Unexpected disposal requirements or materials requiring special handling may require a change order.

23. HAZARDOUS OR SUSPECT MATERIALS

Unless specifically stated otherwise, JM Precision does not provide environmental testing, hazardous-material abatement, mold remediation, asbestos abatement, contaminated-soil remediation, or similar specialized environmental services.

If suspected hazardous or contaminated materials are encountered, JM Precision may stop the affected work until the condition is evaluated and an appropriate plan is established.

Specialized testing, removal, disposal, or remediation will be handled separately by properly qualified parties when required.

24. WORKMANSHIP WARRANTY

Where applicable, JM Precision provides a one-year workmanship warranty on work performed directly by JM Precision, beginning on the date of substantial completion, unless a different written warranty is stated in the project documents.

The workmanship warranty applies to defects caused by JM Precision's workmanship.

The warranty does not cover, unless expressly stated otherwise:

Normal wear and tear
Routine maintenance
Damage caused by misuse, abuse, neglect, accidents, vehicles, animals, or third parties
Damage caused by severe weather, flooding, erosion, groundwater, freeze-thaw cycles, or other environmental conditions
Normal settling, soil movement, or aggregate migration
Clogs or drainage problems caused by leaves, roots, sediment, debris, lack of maintenance, or later site changes
Pre-existing conditions
Hidden or concealed defects outside JM Precision's scope
Customer-supplied materials or products
Manufacturer defects
Work altered, repaired, or modified by others after JM Precision completes the work
Damage caused by changes to surrounding grades, drainage patterns, landscaping, structures, or neighboring property after completion

Manufacturer warranties, when available, remain subject to the manufacturer's own terms.

To request warranty service, the Customer must provide reasonable notice of the alleged workmanship issue and allow JM Precision a reasonable opportunity to inspect and, when covered, correct the issue.

Except in an emergency requiring immediate action to prevent further damage or protect safety, the Customer should allow JM Precision an opportunity to inspect a claimed warranty issue before another contractor alters or repairs the affected work.

25. SUBSTANTIAL COMPLETION AND FINAL WALKTHROUGH

A project is substantially complete when the contracted work is sufficiently complete for its intended use, even if minor punch-list or cleanup items remain.

When practical, JM Precision and the Customer will conduct a final walkthrough or otherwise identify any remaining scope items.

The Customer should promptly notify JM Precision of concerns so they can be evaluated.

Minor punch-list items do not relieve the Customer of the obligation to pay undisputed amounts that are otherwise due.

26. PHOTOS, VIDEO, AND PROJECT DOCUMENTATION

JM Precision may photograph or record project conditions for estimating, documentation, quality control, warranty, insurance, training, project management, and recordkeeping.

Use of project media for public marketing is governed by JM Precision's Privacy Policy and applicable permissions or opt-out requests.

27. COMMUNICATIONS AND ELECTRONIC RECORDS

The Customer agrees that ordinary project communications may occur by phone, text message, email, Jobber, or other reasonable electronic methods.

Electronic approvals, signatures, estimate acceptances, change-order approvals, and written communications may be treated as written records to the extent permitted by law.

Marketing communications and privacy practices are governed by the Customer's consent choices, applicable law, and JM Precision's Privacy Policy.

28. CUSTOMER AUTHORITY

The person approving the work represents that they are the property owner or have authority from the property owner or responsible contracting party to authorize the work.

If the Customer is a tenant, property manager, agent, business representative, or other non-owner, the Customer is responsible for obtaining any required owner authorization before work begins.

29. DISPUTES AND OPPORTUNITY TO CORRECT

If a dispute or workmanship concern arises, both parties agree to make a reasonable good-faith effort to resolve the issue before pursuing formal legal remedies when circumstances allow.

The Customer should provide JM Precision reasonable notice of the concern and a reasonable opportunity to inspect and, when appropriate, correct covered workmanship.

Nothing in this section eliminates any right or remedy that cannot legally be waived.

30. GOVERNING LAW

These Terms and the parties' agreement will be governed by the laws of the State of Tennessee, except where another law is required to apply.

31. SEVERABILITY

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

32. NO WAIVER

A party's failure to enforce a provision of the agreement on one occasion does not waive the right to enforce that provision later.

33. ENTIRE AGREEMENT

The approved estimate or proposal, these Terms, approved change orders, and other documents expressly incorporated into the project agreement represent the parties' agreement concerning the contracted work.

Statements or promises not included in the agreement are not binding unless later confirmed in writing by an authorized representative of JM Precision.
